By creating an account on MyStartupValley ("the Platform"), operated by Nadisha Ventures Private Limited ("MSV", "we", "us", "our"), you ("User", "you") agree to be bound by these Terms and Conditions. If you do not agree, do not use the Platform.
The Platform serves three categories of users: Investors (fund managers, family offices, angels, syndicates), Founders (startups seeking investor introductions), and Enablers (incubators, accelerators, and similar partner organizations). Some provisions in this document apply only to specific user categories, as indicated.
You must be at least 18 years old and legally capable of entering into a binding contract to use the Platform.
Investor accounts are activated only after MSV's admin review and approval. Founder accounts require either a referral or direct application, followed by MSV admin review and approval. Enabler accounts require organizational onboarding and MSV admin approval.
You agree to provide accurate, current, and complete information during registration and to keep this information updated. MSV reserves the right to suspend or terminate accounts found to contain materially false information.
Fund accounts (Investors) and organization accounts (Enablers) are created by an "Owner," who may invite additional team members ("Principal," "Associate," "Manager") under role-based access. The Owner is responsible for all activity conducted under sub-accounts they create or approve.
Investor accounts operate under three roles: Owner (full access, billing, thesis management, team administration), Principal (pipeline and team oversight, no billing access), and Associate (own pipeline management, no billing access). Only the Owner can manage billing, subscriptions, and payment methods.
Enabler accounts operate under similar role separation: Owner (full access, billing), Manager, and Associate. Only the Owner can manage billing.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, including actions taken by team members you invite.
You agree to use the Platform only for its intended purpose: facilitating thesis-matched introductions between startups and investors, and supporting partner organizations in developing and submitting startups for these introductions.
You agree not to:
Security measures on the Platform include account lockout after five consecutive failed login attempts and server-side enforcement of role-based access controls. You agree not to attempt to circumvent these measures.
Startup Funding Agreement (SFA). As a Founder, before your profile is activated and made visible to investors, you must digitally sign the Startup Funding Agreement, which governs the commercial relationship between you and MSV for this engagement, including the success fee structure, mandate period, and circumvention clause described below.
Mandate Period. The SFA establishes a 12-month mandate during which MSV acts as your sourcing and introduction partner for the investors matched to you through the Platform.
Success Fee. If you close a funding round with an investor introduced to you through MSV, you owe MSV a success fee of 4% of the amount raised (for amounts up to ₹10 crore) or 3% (for amounts above ₹10 crore), subject to a minimum fee, plus applicable GST. This fee is detailed in full in your signed SFA.
Post-Introduction Liability. The success fee obligation survives for 12 months after an introduction is made, even if the mandate period has ended or your subscription has lapsed, if you close a deal with that introduced investor within this window.
Circumvention Clause. You agree not to bypass MSV to directly negotiate or close a deal with an investor introduced through the Platform in order to avoid the success fee. Any deal closed with an MSV-introduced investor within the post-introduction liability window is presumed subject to the success fee, regardless of how the final negotiation was conducted.
Call Handling Charge. A charge of ₹1,999 plus 18% GST applies each time MSV schedules a confirmed meeting between you and a matched investor. This charge is collected before the meeting is confirmed to either party and is non-refundable once payment clears, regardless of cancellation, rescheduling, or no-show by either party.
Response Obligations. When an investor requests an introduction, you have 48 hours to accept or decline. Failure to respond within this window automatically cancels the introduction and reduces your internal match score, which may affect your visibility in future investor matching.
Accuracy of Traction Data. You are solely responsible for the accuracy of all financial, traction, and business information you submit, including monthly updates. MSV does not independently audit founder-submitted financial data beyond MSV's standard verification process.
Thesis Configuration. You are responsible for accurately configuring your investment thesis (sector, stage, cheque size, geography, and exclusions). MSV's matching is based entirely on the thesis parameters you provide.
Deal Confidentiality. Information shared with you about a startup through the Deal Room, including financial data, documents, and the deal note, is provided for your evaluation purposes only and may not be redistributed, published, or shared outside your authorized team members without MSV's consent, except through the Platform's official deal-sharing feature.
Co-Invest Signals. Lead investor identity in a Co-Invest Signal is not disclosed until after the underlying deal closes. You agree not to attempt to identify or contact the lead investor through means outside the Platform before this disclosure occurs.
Mark as Funded. When you confirm a deal as funded through the Platform, this action is logged for MSV's internal records and may be used in aggregate, anonymized form for MSV's business metrics and marketing.
Cohort Submissions. As an Enabler, when you submit a startup from your cohort to MSV's Deal Room, you are representing that the startup has gone through your organization's own evaluation, mentorship, or development process to the extent described in your submission.
No Separate Charge for Founder Submissions. Your organization is not charged per startup or per introduction for submissions to MSV. Founders you submit are subject to their own standard Founder subscription terms, as described under Founder-specific terms.
Institutional Representation. Information you provide about your organization (affiliations, notable alumni, grants, partnerships) is used by MSV to establish credibility with investors and may be displayed to MSV admin and, in summary form, to investors reviewing deals submitted by your organization. You are responsible for the accuracy of this information.
Use of the Platform's core features requires an active paid subscription, as described in MSV's published Pricing page, which is incorporated into these Terms by reference.
All payments are processed through Razorpay. Subscription fees, call handling charges, and success fees are governed by MSV's Refund and Cancellation Policy, which is incorporated into these Terms by reference. As stated in that policy, all such fees are non-refundable once paid.
If your subscription expires and is not renewed, your account is locked, but your data is preserved and is not deleted. Access is restored immediately upon renewal.
MSV provides a platform to facilitate introductions and does not guarantee that any introduction will result in a meeting, a term sheet, a closed deal, or any specific business outcome.
MSV's due diligence process is designed to verify the parameters described in our product documentation and marketing materials, but it does not constitute a guarantee, warranty, or assurance of any startup's business viability, financial accuracy beyond what is verified, or future performance. Investors are solely responsible for their own independent diligence and investment decisions.
To the maximum extent permitted by applicable law, MSV's total liability to you for any claim arising from your use of the Platform shall not exceed the total subscription fees paid by you to MSV in the twelve months preceding the claim.
MSV is not liable for indirect, incidental, special, or consequential damages, including lost profits or lost business opportunities, arising from your use of or inability to use the Platform.
You agree to indemnify and hold harmless Nadisha Ventures Private Limited, its officers, employees, and affiliates from any claims, damages, or expenses arising from your breach of these Terms, your misuse of the Platform, or the inaccuracy of information you submit.
MSV reserves the right to suspend or terminate your account for violation of these Terms, submission of fraudulent information, attempted circumvention of the introduction process, or any conduct MSV determines, in its reasonable discretion, to be harmful to other users or to the integrity of the Platform.
In the event of suspension, your data is preserved and not immediately deleted. MSV will review flagged accounts and determine whether to restore access, escalate to permanent suspension, or take further action.
Permanent deletion of account data occurs only pursuant to a verified legal request or as required under applicable data protection law, and requires internal verification before being carried out.
The Platform, including its design, software, matching methodology, and all MSV-authored content (including deal notes and analyst assessments), is the property of Nadisha Ventures Private Limited and is protected by applicable intellectual property law.
You retain ownership of the content you submit (pitch decks, financial data, organizational information), but you grant MSV a license to use, display, and process this content as necessary to operate the Platform and facilitate introductions.
MSV may update these Terms from time to time. Material changes will be communicated to users through the Platform or via email. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.
